Debt Capital Markets & Listing
Ireland is a leading jurisdiction globally for incorporating and servicing special purpose vehicles (SPVs) used for corporate debt and structured finance transactions. Irish SPVs are used to issue and list debt securities. An SPV typically uses the proceeds of issuance to on-lend to a sponsor group or to fund the acquisition/creation of a portfolio of assets.
Key elements include: the section 110 tax regime (which is specifically designed for these type of transactions); our stock exchange, Euronext Dublin, which is the #1 debt listing venue worldwide for Irish and non-Irish issuers; a highly experienced ecosystem of professional and administration services providers supporting these transactions; and experienced and predictable common law courts.
Our team includes Irish and English qualified lawyers, with national and international private practice and in-house experience. We assist Irish and international sponsors, issuers, lead managers, arrangers and programme coordinators on the structuring, offer, issuance and listing of debt securities, bonds and notes. Our team also includes lawyers with a dedicated focus on the corporate trustee and the agency community. Our work includes public and private, standalone issuances and multi-series note programmes.
We also assist issuers to list their debt at a number of leading stock exchanges, including Euronext Dublin, Vienna MTF and The International Stock Exchange (TISE) in the Channel Islands. We can provide guidance on choosing which exchange to list at and an issuer’s continuing obligations.
